Our agreement is as follows.

Licensor hereby provides permission to Licensee to use the trade name, trademark, service mark, logo, or individual name (“Licensor Intellectual Property”) identified in the attached Exhibit A, in written materials acknowledging (the “Acknowledgement”) a donation to [PCC Name] by [Business Name or Individual Name] or sponsorship of [PCC Name] by [Business Name or Individual Name].  Use of “Licensor Intellectual Property” is subject to the following terms:

* Licensor warrants that it owns all right, title, and interest in Licensor Intellectual Property;
* Licensor warrants that it has full legal capacity, power, and authority to provide the permission herein to use Licensor Intellectual Property;
* Licensor warrants that it understands that the Acknowledgement is not provided, approved or endorsed in any way by the United States Postal Service;
* Licensor agrees to indemnify, defend, and hold [PCC Name] harmless against claims by third parties that are attributable to a breach or alleged breach of the foregoing warranties. 

Licensor understands that nothing contained in this Letter Agreement obligates Licensee to exercise any of the rights provided to Licensee by this Letter Agreement.
